承保风险部分包括三个条款,分别是第1条风险条款,第2条共同海损条款和第3条“双方有责碰撞”条款。
1)风险条款
risks clause
this insurance covers all risks of loss of or damage to the subject-matter insuredexcept as provided in clauses 4,5,6 and 7 below.
协会a条款采取承保一切风险,但除外责任不保的形式。索赔的被保险人只要证明损失是在保险期间内发生的某种意外事故造成即可,而拒赔的保险人则需举证损失是由某种除外责任造成。有许多常见的风险都是协会a条款予以承保,而协会b、c条款都不负责,例如偷窃、凿船、海盗和他人不法占有货物等。
2)共同海损条款
general average clause
this insurance covers general average and salvage charges,adjusted or determinedaccording to the contract of affreightment and or the governing law and practice,incurred to avoid or in connection with the avoidance of loss from any cause except thoseexcluded in clauses 4,5,6 and 7 or elsewhere in this insurance.
共同海损条款(general average clause)确定了共同海损理算和救助费用的确定应适用的法律。对于货方无法控制运输合同条款时(例如班轮运输),保险人接受按运输合同条款中对共同海损或救助费用的理算规则,不局限于《约克·安特卫普规则》。如果运输合同未对理算等做出规定,则按船货分离地的法律作为准据法;救助费用的确定则按救助行为结束地的法律。保险人应赔偿的不只是保险货物本身的共同海损牺牲,还包括保险标的应承担的共同海损分摊或救助费用分摊。
共同海损条款的规定扩大了货物保险人应承担的共同海损及救助费用风险的范围。按照《1906年海上保险法》规定,承运人仅对为避免“承保风险”或与此有关所引起的救助费用或共同海损负责赔偿。
3)“双方有责碰撞”条款
“both to blame collision”clause
this insurance is extended to indemnify the assured against such proportion ofliability under the contract of affreightment “both to blame collision”clause as is inrespect of a loss recoverable hereunder.in the event of any claim by shipowners underthe said clause the assured agree to notify the underwriters who shall have the right,at their own cost and expense,to defend the assured against such claim.
“双方有责碰撞”条款(“both to blame collision”clause)规定保险扩展赔偿被保险人根据运输合同中的“双方互有过失碰撞责任条款”的比例责任损失部分。在船东根据此条款提出的索赔的情况下,被保险人同意通知保险人,保险人有权白负费用为被保险人对此种索赔提出答辩。
2.除外责任
除外责任部分分为四个条款,即第4条普通除外条款、第5条不适航和不适货除外条款、第6条战争除外条款和第7条罢工除外条款。所有的除外责任,不仅适用于保险标的的“损失”(loss)或“损”(damage),而且适用于“费用”(expense)。因此除外责任的规定,不仅影响到风险条款,而且影响到共同海损条款,转运费用条款和被保险人义务条款。
1)普通除外条款
general exclusions clausein no case shall this insurance cover
(1)loss damage or expense attributable to willful misconduct of the assured
(2)ordinary leakage,ordinary loss in weight or volume,or ordinary wear and tearof the subject-matter insured
(3)loss damage or expense caused by insufficiency or unsuitability of packing orpreparation of the subject-matter insured(for the purpose of this clause 4.3“packing”shall be deemed to include stowage in a container or liftvan but only when such stowageis carried out prior to attachment of this insurance or by the assured or their servants)
(4)loss damage or expense caused by inherent vice or nature of the subject-matterinsured
(5)loss damage or expense proximately caused by delay,even though the delay becaused by a risk insured against(except expenses payable under clause 2 above)
(6)loss damage or expense arising from insolvency or financial default of the ownersmanagers charterers or operators of the vessel
(7)loss damage or expense arising from the use of any weapon of war employingatomic or nuclear fission and or fusion or other like reaction or radioactive forceor matter
普通除外条款(general exclusion clause)规定了七种除外责任,即
(1)可归咎于被保险人的蓄意恶行的损失,损害或费用。
(2)保险标的的通常渗漏、通常重量或体积损失,或通常磨损。
(3)保险标的的包装或准备不足或不当引起的损失、损害或费用。
(4)保险标的的固有缺陷或性质引起的损失、损害或费用。
(5)迟延直接造成的损失、损害或费用,即使该延迟是由承保风险引起的。
国际物流风险与保险
(6)船舶所有人、经理人、承租人或经营人的破产或经济困境产生的损失、损害或费用。
(7)因使用原子或核裂变和/或聚变或其他类似反应或放射性力量或物质所制造的战争武器产生的损失、损害或费用。
在上述条款中,后两条是新增的,原有的一切险中是没有的。本条款排除核战争武器风险,协会货物战争险条款排除核战争武器的“敌对性”使用风险,但核战争武器的非敌对性使用风险也不是协会货物战争险条款承保的风险,即根本不在保险人的承保责任范围之内。而民用核电站意外泄漏造成的货物辐射损失,在协会a条款中,保险人仍有赔偿责任。
另一条新增的除外条款更加重要,表明保险人不负责非海损造成的承运人中途放弃履行航次而产生的续运货物的费用。
2)不适航和不适货除外责任条款
unseaworthiness and unfitness exclusion clause
in no case shall this insurance cover loss damage or expense arising from unseaworthinessof vessel or craft,unfitness of vessel craft conveyance container or liftvan for the safecarriage of the subjcct-matter insured.where the assured or their servants are privy tosuch unseaworthiness or unfitness,at the time the subject-matter insured is loadedtherein.the underwriters waive any breach of the implied warranties of seaworthinessof the ship and fitness of the ship to carry the subject-matter insured to destination,unless the assured or their servants are privy to such unseaworthiness or unfitness.
不适航和不适货除外责任条款(unseaworthiness and unfitness exclusion clause)规定不承保运输工具的不适航或运输设备的不适货引起的损害。本条主要是针对现代运输中的货主自己装箱,或用自己的拖车托运集装箱货物等情况,规定如果在货方可以控制的范围内,集装箱或拖车不适合于现代安全运输或积载不良,保险人不负责由此产生的损害,除被保险人或其雇员对此种不适航或不适货有私谋的情况外。
3)战争除外条款
war exclusion clause
(1)in no case shall this insurance cover loss damage or expense caused by civil warrevolution rebellion insurrection,or civil strifearising therefrom,or any hostile act byor against a belligerent power.
(2)capture seizure arrest restraint or detainment(piracy excepted ),and theconsequences thereof or any attempt thereat
(3)derelict mines torpedoes bombs or other derelict weapons of war.
战争除外险(war exclusion clause)不承保由:
(1)战争、内战、革命、造反、叛乱或由此引起的内乱,或任何交战方之间的敌对行为。
(2)捕获、扣押、扣留、拘禁或羁押(海盗除外)和由此引起的后果或进行此种行为的企图。
(3)被遗弃的水雷、鱼雷、炸弹或其他被遗弃的战争武器造成的损失、损害或费用。
新的战争条款代替了旧的“捕获扣押不保条款”(f.c.&s.clause)。本条除外的风险由协会战争险予以承保。
但是,海盗(piracy)风险只有协会a条款作为水险(marine risk)承保,而协会b、c条款和战争险都不承保。
4)罢工除外条款
strikes exclusion clause
in no case shall this insurance cover loss damage or expense
(1)causcd by strikers,locked-out workmen,or persons taking part in labourdisturbances,riots or civil commotions.
(2)resulting from strikes,lock-outs,labour disturhances,riots or civil commotions
(3)caused by any terrorist or any person acting from a political motive.
罢工除外条款(strike exclusion clause)不承保由罢工工人、被迫停工工人或参加工潮、暴动或民变的人员;罢工、停工、工潮、暴动或民变;恐怖分子或出于政治动机而行为的人造成的损失、损害和费用。
在保险责任期间方面,协会货物罢工险条款和协会货物保险条款是一致的;但在承保风险方面,本条的除外风险并没有完全被协会货物罢工险条款所承保,主要是协会货物罢工险条款不承保由于航程受阻或丧失所造成的续运货物的费用。
3.保险期间
保险期间部分由第8条运送条款、第9条运输合同终止条款以及第10条航程改变条款三个条款组成,阐述了最为复杂的保险期间问题。
1)运送条款
transit clause
this insurance attaches from the time the goods leave the warehouse or place ofstorage at the place named herein for the commencement of the transit,continues duringthe ordinary course of transit and terminates either
on delivery to the consignees'or other final warehouse or place of storage at thedestination named herein
on delivery to any other warehouse or place of storage,whether prior to or at thedestination named herein,which the assured elect to use either
for storage other than in the ordinary course of transit orfor allocation or distribution
or
on the expiry of 60 days after completion of discharge overside of the goods herebyinsured from the oversea vessel at the final port of discharge,
whichever shall first occur.
if,after discharge overside from the oversea vesscl at the final port of discharge,but prior to termination of this insurance,the goods are to be forwarded to a destinationother than that to which they are insured hereunder,this insurance,whilst remainingsubject to termination as provided for above,shall not extend beyond thecommencement of transit to such other destination.
this insurance shall remain in force(subject to termination as provided for aboveand to the provisions of clause 9 below)during delay beyond the control of theassured,any deviation,forced discharge,reshipment or transshipment and during anyvariation of the adventure arising from the exercise of a liberty granted to shipowners orcharterers under the contract of affreightment.
运送条款(transit clause)共三款,第1条是普遍适用的规定,第2条和第3条分别规定了两类特殊情况下的保险效力问题。
第1款规定了保险责任的开始(attach)、持续(continue)和终止(terminate)。
货物离开起运地开始运送,保险责任即已开始。但是在起运地装上运输工具的过程中发生的损害,以及离开制造厂商仓库到包装处进行运输包装的过程,都不构成保险责任的开始。但货物进集装箱货运站装箱的过程却是在保险责任期间内的。
保险责任在“通常运送过程中”(ordinary course of transit)连续。通常运送过程是指以习惯方式运输、沿通常运输路线合理快速的将货物运抵目的地。如中途发生非通常运输事件,保险责任即告终止,除非按本条其他规定继续有效或得以续保。保险责任的终止,以下列先发生者为准:
(1)在保险单载明的目的地货物交付收货人的或其他最后仓库或储存处所。
(2)货物运到被保险人用作非通常运输过程中的储存或用作分配、分派的仓库或储存处所。
(3)货物在最后卸货港全部卸离后60天。
第2款规定,货物在最后卸货港卸下后被转运到其他目的地,从开始转运起,本保险终止,同时也受60天截止期的限制。
第3款对航程延误、绕航、被迫卸货、转船或转运,以及承运人根据运输合同所做的航海变更,如果不是为被保险人所控制的,保险合同继续有效,被保险人无须通知保险人,也无须另加保险费。
2)运输合同终止条款
termination of contract of carriage clause
if owing to circumstances beyond the control of the assured either the contract ofcarriage is terminated at a port or place other than the destination named therein or thetransit is otherwise terminated before delivery of the goods as provided for in clause 8above,then this insurance shall also terminate unless prompt notice is given to theunderwriters and continuation of cover is requested when the insurance shall remain inforce,subject to an additional premium if required by the underwriter,either until thegoods are sold and delivered at such port or place,or,unless otherwise speciallyagreed,until the expiry of 60 days after arrival of the goods hereby insured at such portor place,whichever shall first occur,or if the goods are forwarded within the said periodof 60 days(or any agreed extension thereof )to the destination named herein or to anyother destination,until terminated in accordance with the provisions of clause 8 above.
运输合同终止条款(termination of contract of carriage clause)主要针对被保险人无法控制的运输合同在中途终止,终止的原因可能是航程受阻或船东放弃航程,无论是否合法。在此情况下,被保险人须办理续保,否则保险合同从运输合同终止时起终止。在续保后,货物须在60天内转运,从船舶抵达时起算;如果在上述60天内货物在航程终止地变卖并付给了卖方,保险合同即告终止。
3)航程改变条款
change of voyage clause
where,after attachment of this insurance,the destination is changed by theassured,held covered at a premium and on conditions to be arranged subject to promptnotice being given to the underwriters.
航程改变条款(change of voyage clause)只适用保险责任开始后,被保险人改变航程的情况。此种情况下,按照《1906年海上保险法》的规定,保险责任即告终止。而按照协会货物保险条款,被保险人迅速通知保险人,保险合同得以续保,但续保的保险费以及其他保险条件有待重新确定。
与1963年协会货物保险条款相比,本条允许保险人对续保提出其他方面的要求。此外,本条允许的变更只是在保险责任开始后被保险人的改变目的地而已。对保险标的、船名或航次等表述错误时,只有在预约保险合同(open cover)中才予以承保。
4.索赔事项
索赔事项部分分别由第11条保险利益条款、第12条转运费用条款、第13条推定全损条款和第14条增值条款四个条款组成。
1)保险利益条款
insurable interest clause
in order to recover under this insurance the assured must have an insurableinterest in the subject-matter insured at the time of the loss.
subject to 11.1 above,the assured shall be entitled to recover for insured lossoccurring during the period covered by this insurance,notwithstanding that the lossoccurred before the contract of insurance was concluded,unless the assured were awareof the loss and the underwriters were not.
保险利益条款(insurable interest clause)规定重申了保险利益原则,并保留了“无论损失与否条款”的精神和内容。本条款规定使保险单具有溯及既往的法律效力,只要损失发生在保险期间,当时被保险人有保险利益,保险人就不能以投保时损失已发生或存在共同过失(common mistake)来拒赔,除非投保时被保险人知道损失的发生而保险人不知道。
2)续运费用条款
forwarding charges clause
where,as a result of the operation of a risk covered by this insurance,the insuredtransit is terminated at a port or place other than that to which the subject-matter iscovered under this insurance,the underwriters will reimburse the assured for anyextra charges properly and reasonably incurred in unloading storing and forwarding thesubject-matter to the destination to which it is insured hereunder.
this clause 12 which does not apply to general average or salvage charges,shall besubject to the exclusions contained in clause 4,5,6 and 7 above and shall not includecharges arising from the fault negligence insolvency or financial default of the assuredor their servants.
续运费用条款(forwarding charges clause)认同普通法中的一个重要原则,即海上货物运输保险的保险人所承保的不仅仅是货物的有形财产的完好,还包括运输该货物的航程。同时在承运人放弃运输的情况下,如有可能,被保险人有义务为自己的利益将货物转运至目的地,而保险人的责任是此后赔偿被保险人的此种特别费用。本条还强调了运输中断的原因须为承保风险而不能是由除外责任引起的,否则保险人不予赔偿。
本条与运输合同终止条款的区别在于,第9条的运输终止不一定由承保风险引起的,而且也不针对费用。它针对保险的终止,除非货方续保,也没有涉及续运费用问题。即使运输终止是由承保风险造成的,仍受运输终止条款的限制。
3)推定全损条款
constructive total loss clause
no claim for constructive total loss shall be recoverable hereunder unless thesubject matter insured is reasonably abandoned either on account of its actual total lossappearing to be unavoidable or bccause the cost of recovering,reconditioning andforwarding the subject-matter to the destination to which it is insured would cxceed itsvalue on arrival.
推定全损条款(constructive total loss clause)规定在认定实际全损看来已不可避免或恢复、重整和续运保险标的至目的地的费用会超过抵达时价值时,保险人承担保险责任。和《1906海上保险法》相比,少了被保险人因承保风险丧失了对货物的占有而且不可能重新获得或重新获得的费用会超过重新获得时的价值所构成的推定全损。但协会货物保险条款适用英国法律,发生此种风险,仍予以承保。
“委付”(abandonment)是指被保险人自愿让与保险人保险标的及其物权和债权。委付保险标的不是推定全损的约定或法定构成要件,而是被保险人在推定全损成立时,选择向保险人索赔推定全损的先决条件。
保险单中约定的保险价值不能用来决定是否构成推定全损,其作用仅限于确定损失赔偿额。
4)增值条款
increased value clause
if any increased value insurance is effected by the assured on the cargo insuredherein the agreed value of the cargo shall be deemed to be increased to the total amountinsured under this insurance and all increased value insurances covering the loss andliability under this insurance shall be in such proportion as the sum insured herein bearsto such total amount insured.
in the event of claim the assured shall provide the underwriters with evidence ofthe amounts insured under all other insurances.
where this insurance is on increased value the following clause shall apply:
the agreed value of the cargo shall be deemed to be equal to the total amountinsured under the primary insurance and all increased value insurances covering the lossand affected on the cargo by the assured,and liability under this insurance shall be insuch proportion as the sum insured herein bears to such total amount insured.
in the event of claim the assured shall provide the underwriters with evidence ofthe amounts insured under all other insurances.
增值条款(increased value clause)是一个新增的条款,改变了《1906年海上保险法》的有关规定,使得“原始保险”(primary or original insurance)与“增值保险”(increasedvalue insurance)在支付保险索赔和享受向第三方追偿方面完全平等,以保险金额作为分配的基础。本条款具有将原始保险和各份增值保险合并成一个保险价值的法律效力,使各保险人共同承保保险货物的“全部价值”(full value),并与每一保险合同的保险金额发生关系,达到“比例赔付、比例受偿”的效果。
5.保险受益
not to inure clause
this insurance shall not insure to the benefit of the carrier or other bailee.
保险受益部分的条款只有第15条不适用条款(not to inure clause)。此条款避免了承运人或其他保管人的受益,也称不得受益条款。这是一个在海上货物保险中使用了很久的标准条款,其目的是防止承运人或其他的货物保管人通过货物运输合同或其他协议中写入一个享有保险权益的条款来摆脱对货物损害或迟延交付的责任,保护货物保险人对承运人或其他货物保管人的代位求偿权不受损害,保留保险人在代位求偿权受到损害时向被保险人反索赔的权利。
6.尽量减少损失
减小损失部分有第16条被保险人义务条款和第17条弃权条款两个条款。
1)被保险人义务条款
duty of assured clause
it is the duty of the assured and their servants and agents in respect of lossrecoverable hereunder
to take such measures as may be reasonable for the purpose of averting orminimising such loss,and
to ensure that all rights against carriers,bailees or other third parties are properlypreserved and exercised
and the underwriters will,in addition to any loss recoverable hereunder,reimburse theassured for any charges properly and reasonably incurred in pursuance of these duties.
被保险人义务条款(duty of assured clause)明确被保险人的两项义务:采用合理措施避免或减少承保损失的义务和保护保险人的代位求偿权的义务。
本条款强调举证责任在被保险人一方,被保险人须像未投保的货方一样为自己的利益行动。对于货方采取的措施,强调必须“合理”(reasonable),而不强求“有效”(successful)。由于损失发生到保险索赔支付之间有很长的时间,保护保险人的代位求偿权就十分必要了。同时规定,保险人应相应补偿被保险人因履行上述义务而发生的费用,而且明确了保险人的此项责任是在保险人的其他保险赔偿责任之外的。
2)弃权条款
waiver clause
measures taken by the assured or the underwriters with the object of saving,protecting or recovering the subject matter insured shall not be considered as a waiver oracceptance of abandonment or otherwise prejudice the rights of either party.
弃权条款(waiver clause)规定使被保险人和保险人可以展开施救行动,保护双方的法律地位,使任何一方的利益不因采取施救货物的措施而受到损害。
7.避免迟延
避免延迟部分的内容只有第18条合理速遣条款。
reasonable despatch clause
it is a condition of this insurance that the assured shall act with reasonabledespatch in all circumstances within their control.
合理速遣(reasonable despatch clause)条款要求被保险人在其力所能及的范围内,采取合理快速的行动,避免运送延迟。对于为了被保险人利益而发生延迟的情况下,不能根据协会延误保险条款“续保”(held cover)。
8.法律和惯例
english law and practice clausethis insurance is subject to english law and practice.
法律和惯例部分的条款是第19条英国法律与惯例(english law and practiceclause),它表明本保险受英国法律和惯例的调整。由于不再适用《1906年海上保险法》所附的s.g.保险单,为了确定众多判例、法规依然有效,因此设立本条款,强调英国法律和惯例的适用性。
9.注意事项
note:it is necessary for the assured when they become aware of an eventwhich is “held covered”under this insurance to give prompt notice to the underwritersand the right to such cover is dependent upon compliance with this obligation.
在保险条款之后还有一个注意事项(note),强调了续保的条件是被保险人知情后立刻迅速通知保险人。迅速通知保险人是续保的默示条款,是为了防止被保险人投机,观望不保,直到实际发生损失时才要求续保而逃避支付保险费。
